Instrument Review — MT799, SBLC, BGs, Bond Programs.
We review financial instruments (MT799, SBLC, bank guarantees, bond programmes) for authenticity, enforceability and legal compliance. Our process combines SWIFT/bank confirmation, documentary review, counterparty and sanctions screening, and counsel-ready legal analysis — so sponsors understand acceptance conditions, enforcement pathways and residual risk before transacting.
Process
Scope & risk assessment
Define instrument type, face value, issuer, beneficiary, transaction purpose, governing law and jurisdiction. Assess counterparty risk, funding source, payment mechanics and applicable sanctions/regulatory constraints to set review depth and urgency.
Document request & evidence collection
Secure full documentary package: SWIFT messages (MT799/760 copies), draft SBLC/BG wording, bond programme notices, issuer bank details, corporate docs and transaction agreements. Log chain-of-custody and timestamps for auditability.
Bank confirmation & SWIFT verification
Verify authenticity via bank-to-bank channels: confirm with the issuing bank’s corporate treasury or correspondent, validate SWIFT BICs, check MT message headers, and obtain written bank confirmation on issuance, terms and funding/cover status.
Legal & compliance review
Assess wording for enforceability, expiry, conditionality, transferability and notice requirements. Run sanctions/screening checks, evaluate tax/regulatory implications and produce counsel-ready queries or recommended redlines for safe acceptance or escrow protections.
Report & recommended actions
Deliver an actionable report: authenticity rating, material red flags, recommended acceptance conditions, escrow/independent verification measures, negotiation points and next steps (accept, require confirmation, escrow, or decline). Include estimated timelines and costs for remediation.
RED FLAG RISK RATING SYSTEM
Standardised, evidence-driven red-flag scoring across financial, legal, reputational, operational and compliance, producing weighted triage levels to prioritise investigations and remediation.
KYC / AML ENHANCED DUE DILIGENCE
Onsite due diligence, stakeholder interviews and forensic media analysis validate operations, reveal reputational, regulatory, community risks and deliver counsel-ready reports.
POLITICAL & REGULATORY RISK ASSESSMENT
Assess political and regulatory risks, model scenarios and stakeholders, and recommend mitigations, engagement and contractual protections to de-risk cross-jurisdictional investments.
